CRCLB is a BNB Smart Chain token issued within Binance’s bStocks program. It is designed to provide economic exposure to Circle Internet Group shares, but it is not the same as owning Circle stock directly.
What CRCLB represents
CRCLB is a tokenized security linked to Circle Internet Group’s listed equity. Binance identifies it as one of the bStocks issued by BTech Holdings Limited, an Abu Dhabi Global Market special-purpose vehicle. The token is structured as a certificate representing an interest in underlying securities held by the issuer, rather than as direct ownership of Circle shares.
That distinction defines the asset’s role. CRCLB is not a governance token for Circle, a payment token, or a separate protocol with its own economic activity. Its intended function is to give eligible users blockchain-based exposure to the price and selected economic effects of the referenced stock. Holders do not receive direct shareholder voting, inspection, corporate communication, or equivalent rights in Circle.
How the backing and conversion model works
Binance says each bStock is intended to be backed on a 1:1 basis by the corresponding underlying security held through regulated custody arrangements. For CRCLB, Binance’s June 11, 2026 listing announcement identifies the BNB Smart Chain contract as 0x80f3D493EBCe97e343c53D29a137942416B4ffC0 and states that conversion between the underlying stock and its bStock is designed to occur at a 1:1 ratio, subject to eligibility, operational, and legal conditions.
The backing model does not guarantee that CRCLB will always trade at the same price as Circle stock. Binance lists supply and demand, market-maker activity, trading outside U.S. equity hours, spreads, fees, taxes, data delays, settlement constraints, and market disruption as possible causes of a premium or discount. Secondary-market pricing is set by trading activity on each venue, while direct issuance or redemption depends on the issuer’s procedures.
The BNB Smart Chain architecture
CRCLB is deployed as a token on BNB Smart Chain and can be transferred to a compatible BNB Smart Chain wallet, subject to the product’s transfer restrictions. Binance describes bStocks as BEP-20 assets with support for the BEP-677 scaled-amount standard, which allows the displayed balance to account for corporate-action adjustments without necessarily creating a conventional token transfer for every change.
Dividends are not described as cash distributions to CRCLB holders. Binance says the net dividend, after applicable withholding and deductions, is generally reinvested into the underlying security and reflected through a Multiplier adjustment. Stock splits and other corporate actions may also be handled through balance or multiplier changes, and deposits, withdrawals, or conversions may be paused during processing.
Trading access and intended users
The product is aimed at crypto-native users who want equity exposure within a blockchain account rather than only through a conventional brokerage. Binance says bStocks can trade on its spot market around the clock, can be withdrawn to compatible wallets, and may be integrated by third-party applications that enforce the program’s eligibility rules. These features make CRCLB operationally closer to a transferable on-chain financial instrument than to a conventional company share.
Access is geographically restricted. Binance states that bStocks are offered through an approved prospectus in the ADGM, are available only to eligible users in permitted jurisdictions, and are not offered to U.S. persons. The ADGM Financial Services Regulatory Authority maintains an official approved-prospectuses list for securities issued by BTech Holdings Limited, but availability of a particular token can still depend on current product terms and jurisdictional controls.
Control, dependencies, and practical limitations
CRCLB does not have a publicly described DAO or token-holder governance process. Control is instead concentrated across the issuer, Binance’s trading and conversion infrastructure, custody providers, and the smart contract. Binance says the issuer can restrict or blacklist addresses when activity may breach law, sanctions requirements, eligibility rules, or product terms. A wallet holder therefore does not have unrestricted transferability equivalent to a permissionless cryptocurrency.
The product also depends on several systems outside the token contract: the value and corporate actions of Circle stock, the issuer’s collateral and redemption arrangements, regulated custody, Binance order books and reference prices, BNB Smart Chain availability, and the legal framework governing tokenized securities. Binance explicitly states that bStocks are not brokerage accounts, bank deposits, direct holdings of U.S. securities, or assets covered by SIPC or FDIC protection.
What to verify before assessing CRCLB
A useful review should separate Circle-company risk from token-wrapper risk. Circle’s share price and corporate performance remain relevant, but CRCLB adds issuer, custody, conversion, liquidity, smart-contract, network, jurisdiction, tax, and venue risks.
